Terms of Service

1. Acceptance of terms

By creating an account or using any part of the Vosaire platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You must be at least 13 years old (or 16 in the EEA) to use the Service. If you do not agree with any part of these Terms, you must not use the Service.

2. Description of service

Vosaire is an AI-powered customer support chatbot platform. It allows Account Holders to create AI agents trained on their knowledge base, deploy embeddable chat widgets on their websites and applications, and integrate with third-party tools. Vosaire is provided as a software-as-a-service (SaaS) product; we do not provide professional services, consulting, or custom development as part of a standard subscription.

3. Use of service

Vosaire grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these Terms and your plan limits. You may embed Vosaire chat widgets on your own websites and applications, connect supported integrations, and build AI agents trained on your own knowledge base content. The Service is provided “as is” and Vosaire targets 99.9% monthly uptime on paid plans, measured over each calendar month, excluding scheduled maintenance windows announced at least 24 hours in advance.

4. Account responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@vosaire.com if you suspect unauthorized access. You agree to provide accurate registration information and keep it up to date. Accounts may not be shared across separate organizations; each organization requires its own account. You are solely responsible for the configuration, content, and behaviour of any AI agent you deploy.

5. AI terms and LLM usage

The Service is powered in part by third-party large language model (LLM) APIs, including OpenAI. Your use of AI-powered features is subject to OpenAI's usage policies in addition to these Terms.

Output disclaimer. AI-generated responses may be inaccurate, incomplete, out of date, or inappropriate for certain contexts. Vosaire makes no warranty as to the accuracy, reliability, or fitness for purpose of any AI-generated output. You and your end users should verify important information independently before acting on it. Vosaire is not liable for any harm arising from reliance on AI outputs.

No training on your data.Vosaire does not use your knowledge base content, conversation logs, or any other customer data to train, fine-tune, or improve any AI model — including Vosaire's own systems or OpenAI's foundation models. Queries sent to LLM APIs are subject to those providers' API data usage terms, which prohibit training on API inputs by default.

Transparency obligation. If your end users sincerely ask whether they are speaking with a human or an AI, your AI agents must not deny being an AI. You may give your AI agent a custom persona or name, but it may not impersonate a real named individual.

6. Widget operator obligations

As an Account Holder deploying Vosaire widgets on your website or application, you act as the data controller for the personal data your end users provide through the widget. You are responsible for:

  • Displaying a privacy notice to your end users that discloses the use of an AI chatbot and the data collected.
  • Obtaining any consents required by applicable law (e.g., GDPR, CCPA) before collecting personal data through the widget.
  • Responding to your end users' data subject requests (access, deletion, correction) regarding data collected through the widget.
  • Ensuring your use of Vosaire complies with all applicable laws in the jurisdictions where you operate.
  • Not configuring AI agents to actively solicit sensitive personal data such as passwords, payment card numbers, government IDs, or health information.

7. Prohibited uses

You may not use the Service to:

  • Deceive or mislead end users — including instructing an AI agent to deny being an AI when sincerely asked, or to impersonate a real individual.
  • Generate, transmit, or store content that is hateful, discriminatory, threatening, sexually explicit, or that facilitates illegal activity.
  • Collect or process sensitive personal data — including health information, financial account credentials, government-issued ID numbers, biometric data, political opinions, or religious beliefs — without explicit consent and appropriate safeguards.
  • Send unsolicited commercial communications (spam) to end users or third parties.
  • Engage in phishing, social engineering, or other deceptive practices against end users.
  • Attempt to circumvent the platform's usage limits, security controls, or content policies.
  • Resell, sublicense, or provide access to the Service to third parties as a standalone product without a separate reseller agreement with Vosaire.
  • Scrape, reverse-engineer, or disassemble any part of the Vosaire application.
  • Use the Service in any way that violates applicable law, including export control regulations.

Violation of these restrictions may result in immediate suspension of your account without refund.

8. Intellectual property

Vosaire and its licensors own all rights to the platform, including its software, visual design, trademarks, and underlying models. These Terms do not grant you any right to use Vosaire's name, logo, or trademarks without prior written consent.

You retain all rights to the content you upload (knowledge base documents, conversation transcripts, custom instructions). By uploading content, you grant Vosaire a limited, worldwide, royalty-free license to process that content solely to provide the Service to you. This license terminates when you delete the content or close your account.

9. Payment and billing

Vosaire uses flat-rate monthly or annual billing — you pay one price per plan regardless of conversation volume, up to the fair use limits stated on the pricing page. Subscriptions renew automatically on the same day each billing period. All payments are processed by Razorpay and charged in US dollars. Prices are shown exclusive of applicable taxes; taxes will be added at checkout where required by law.

Refund policy. Annual plans canceled within 7 days of the initial purchase date are eligible for a full refund. After 7 days, no refund is provided for unused time. Monthly plans have no partial-month refunds — your plan remains active until the end of the current billing period. We reserve the right to change pricing with at least 30 days' notice to your registered email address.

Fair use policy. Each plan includes a monthly AI message quota. If your usage consistently exceeds this quota — defined as exceeding the limit in three or more billing periods within a rolling six-month window — Vosaire may reach out to discuss an appropriate plan upgrade. We will not throttle or terminate your service without prior notice.

Failed payments. If a payment fails, we will retry over a 7-day grace period. If payment is not recovered, we may suspend your account. Access is restored immediately upon successful payment.

10. Confidentiality

Each party agrees to keep the other party's non-public information confidential and not to disclose it to third parties without prior written consent, except as required by law or as necessary to provide the Service. This obligation survives termination of these Terms for a period of 3 years.

11. Termination

You may cancel your account at any time from the billing settings in your dashboard. Vosaire may suspend or terminate your account for material breach of these Terms (including prohibited uses or non-payment), fraudulent activity, or as required by law.

Upon termination, your access to the Service and associated data will cease. You may export your data at any time while your account is active. After termination, we will retain your data for 30 days before permanent deletion, unless earlier deletion is requested by you or required by law. Billing records are retained for 7 years as required by applicable tax law.

12. Warranties and disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. VOSAIRE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU IN FULL.

13. Limitation of liability

To the maximum extent permitted by applicable law, Vosaire's total liability to you for any claims arising from your use of the Service is limited to the greater of (a) the total fees you paid to Vosaire in the three months immediately preceding the event giving rise to the claim, or (b) $100 USD. Vosaire is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Vosaire and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) content you upload or transmit through the Service.

15. Force majeure

Vosaire is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, power failures, internet outages, third-party service provider failures (including cloud infrastructure or LLM API outages), or government actions.

16. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

Before initiating any formal legal proceeding, both parties agree to attempt to resolve disputes informally by contacting legal@vosaire.com and allowing 30 days for resolution.

If you are a consumer in the European Union, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

17. Changes to terms

We may update these Terms from time to time. For material changes, we will notify you by email at least 14 daysbefore the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. The “Last updated” date at the top of this page reflects the most recent revision. Prior versions are available on request at legal@vosaire.com.

18. Shopify App — Caro

Vosaire also offers a separate Shopify application called Caro, available on the Shopify App Store, which installs directly into a merchant's Shopify admin. Caro is a distinct product from the Vosaire web platform described elsewhere in these Terms — see Section 17 of our Privacy Policy for details on Caro's separate account context and data handling.

Billing. Section 9 (Payment and billing) does not apply to Caro. All charges for Caro are billed through Shopify App Pricingas part of the merchant's standard Shopify invoice — Vosaire does not process Caro payments directly, and Caro is never charged through Razorpay, Stripe, Paddle, or any other external processor. Refunds, billing disputes, and subscription changes for Caro are handled through Shopify's own merchant billing channels, not the refund policy in Section 9.

Uninstallation.Uninstalling Caro from your Shopify admin immediately revokes the app's access to your store. Your store's data is retained and deleted in accordance with the GDPR compliance webhooks described in Section 17.4 of the Privacy Policy.

All other provisions of these Terms — including Sections 5–8 (AI terms, widget operator obligations, prohibited uses, and intellectual property), warranties and disclaimers, limitation of liability, and governing law — apply equally to your use of Caro.

19. General

Entire agreement. These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and Vosaire with respect to the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No waiver. Failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment.You may not assign or transfer these Terms or your account to any third party without Vosaire's prior written consent. Vosaire may freely assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.
